Argo advises Smartphoto Group on public takeover bid by Coucke and Vlerick
Argo Law is pleased to have advised the board of directors of Smartphoto Group (Euronext Brussels: SMAR) in connection with the public takeover bid launched by Alyrick, the investment vehicle of Belgian entrepreneurs Marc Coucke and Philippe Vlerick.
The bid, which followed Alyrick’s earlier acquisition of a significant stake, was made for all outstanding shares not already held by Alyrick or its affiliates. After a second offer period, the bidder reached an ownership threshold of over 95%, allowing it to proceed with a squeeze-out and delisting of Smartphoto from the Euronext Brussels.
With this, Smartphoto – originally listed in 1991 as Spector – closes a 34-year chapter on the stock market and moves forward under private ownership.
